FASTSERVENOW VENDOR AGREEMENT

This Vendor Agreement (“Agreement”) is entered into by and between FastServeNow (“Platform”, “we”, “us”) and the individual or entity applying to sell products or services on the Platform (“Vendor”, “you”).

By registering as a Vendor, listing products, or receiving payments through the Platform, you agree to be bound by this Agreement.


1. Platform Nature and Relationship

1.1 FastServeNow operates as a marketplace platform that facilitates transactions between customers and independent vendors.

1.2 FastServeNow is not the seller of any products, does not take title to goods, and does not control or guarantee product quality, inventory, fulfillment, delivery, or after-sales service.

1.3 Vendors act as independent contractors. Nothing in this Agreement shall be deemed to create an employment, partnership, joint venture, or agency relationship between FastServeNow and the Vendor.


2. Vendor Responsibilities

2.1 The Vendor is solely responsible for:

  • Product descriptions, pricing, and accuracy of listings

  • Inventory management

  • Order fulfillment and delivery

  • Customer service and dispute handling

  • Compliance with all applicable laws and regulations in the Vendor’s jurisdiction

2.2 The Vendor represents and warrants that all products and services offered are lawful, authentic, and do not infringe any intellectual property or third-party rights.


3. Payments, Collection, and Settlement

3.1 Payment Collection
Customers make payments through payment methods supported by the Platform.
FastServeNow collects payments on behalf of Vendors as a limited payment collection agent.

3.2 Commission
FastServeNow charges a platform service fee equal to fifteen percent (15%) of the gross transaction amount for each completed order, unless otherwise agreed in writing.

3.3 Settlement to Vendor
After deducting the applicable platform service fee, FastServeNow will remit the remaining balance to the Vendor according to the Vendor’s selected payout method and the Platform’s settlement schedule.

3.4 No Ownership of Vendor Funds
Except for the platform service fee, all remaining transaction funds belong to the Vendor.
FastServeNow does not acquire ownership of Vendor proceeds and holds such funds temporarily for settlement purposes only.


4. Refunds, Chargebacks, and Adjustments

4.1 Vendors are responsible for handling refunds, returns, and customer disputes in accordance with Platform policies.

4.2 Refunds and chargebacks may result in:

  • Deduction from the Vendor’s available balance

  • Offset against future payouts

  • Additional fees imposed by payment processors

4.3 If a refund or chargeback occurs after payout, the Vendor agrees to reimburse FastServeNow or allow recovery from future settlements.


5. Taxes

5.1 Vendors are solely responsible for:

  • All taxes arising from their sales

  • Sales tax, VAT, GST, or similar indirect taxes

  • Income or business taxes in their applicable jurisdictions

5.2 FastServeNow’s commission represents its sole taxable income from transactions facilitated on the Platform.


6. Vendor Payout Information

6.1 Vendors must provide accurate and valid payout information, including PayPal or other approved payment accounts.

6.2 FastServeNow is not responsible for delays or failures caused by incorrect payout details provided by the Vendor.


7. Compliance and Prohibited Activities

7.1 Vendors shall not:

  • Misrepresent products or services

  • Engage in fraudulent or deceptive practices

  • Circumvent platform fees

  • Use the Platform for unlawful activities

7.2 FastServeNow reserves the right to suspend or terminate Vendor accounts for violations of this Agreement or Platform policies.


8. Limitation of Liability

8.1 FastServeNow shall not be liable for:

  • Vendor product defects

  • Fulfillment failures

  • Customer disputes

  • Loss of profits or indirect damages

8.2 FastServeNow’s liability, if any, shall be limited to the amount of platform service fees earned from the Vendor in the three (3) months preceding the claim.


9. Termination

9.1 Either party may terminate this Agreement at any time.

9.2 Upon termination:

  • Outstanding transactions will be settled according to this Agreement

  • Platform service fees remain payable

  • Sections relating to payments, taxes, and liability shall survive termination


10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Insert Governing Law – e.g., Hong Kong / Singapore / England & Wales], without regard to conflict of law principles.


11. Amendments

FastServeNow may update this Agreement from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Agreement.

By registering as a Vendor on FastServeNow, you acknowledge that you have read, understood, and agreed to this Vendor Agreement.
